With reference to the announcement made on 21 September 2023 by FEGA _ Schmitt Elektrogro\u00dfhandel GmbH with its registered office in Ansbach, Germany _ the “Offeror”_ on the basis of Article 72a section 1 of the Act of 29 July 2005 on public offerings and conditions for the introduction of financial instruments into the organised trading system and on public companies _Journal of Laws. of 2022, item 2554 t.j._ a tender offer for the sale of shares in TIM Sp\u00f3\u0142ka Akcyjna with its registered office in Wroc\u0142aw _ the “Company” and the “Tender Offer” respectively _ and the Company’s current report No. 33\/2023 of 02.10.2023, The Management Board of the Company announces that on 25 January 2024 it received information on obtaining the consent of the President of the Office of Competition and Consumer Protection to effect a concentration involving the assumption by the Tenderer of direct control over the Company within the meaning of the Act on Competition and Consumer Protection of 16 February 2007 _i.e. Journal of Laws of 2021, item 275_.
\nFollowing the receipt of the approval of the President of the Office of Competition and Consumer Protection for the concentration, the Offeror has informed the Company that it intends to settle the Tender Offer by the end of January 2024.<\/p>\n
