TIM S.A. with its seat in Wroc\u0142aw (hereinafter referred to as: \u201cthe Company\u201d) acting pursuant to Article 70, section 1 of the Act on Public Offering, on Conditions for the Introduction of Financial Instruments to the Organized Trading System and on Public Companies informs that on 13 December 2018 the Company was notified by ALTUS Towarzystwo Funduszy Inwestycyjnych S.A. (hereinafter referred to as \u201cthe Association\u201d) that the investment funds managed by the Association decreased their share in the total number of votes in TIM S.A. below 5%.<\/p>\n

According to the notification from the Association, the decrease of the shares in the Company exceeding 10% was a the result of taking over on 11 December 2018 by Rockbridge TFI S.A. the management of the following closed-end investment fund:<\/p>\n

    \n\u2013 ALTUS Subfundusz Absolutnej Stopy Zwrotu Rynk\u00f3w Zagranicznych,
    \n\u2013 ALTUS Subfundusz Absolutnej Stopy Zwrotu Rynku Polskiego,<\/li>\n
  2. ALTUS Absolutnej Stopy Zwrotu Fundusz Inwestycyjny Zamkni\u0119ty Rynku Polskiego 2,<\/li>\n
  3. ALTUS Fundusz Inwestycyjny Zamkni\u0119ty Aktywnej Alokacji Sp\u00f3\u0142ek Dywidendowych,<\/li>\n
  4. ALTUS Fundusz Inwestycyjny Zamkni\u0119ty Multi Strategia,<\/li>\n
  5. ALTUS Multi Asset Fundusz Inwestycyjny Zamkni\u0119ty.<\/li>\n<\/ol>\n

    According to the notification of the Association, before the change in share the funds managed by the Association possessed jointly 1,724,878 shares of TIM S.A. which constituted 7.7% in the share capital of the Company. Before the change in share the shares possessed by the funds managed by the Association granted jointly 1,724,878 votes at the General Meeting of Shareholders of the Company, which constituted 7.77% in the general number of votes at the General Meeting of Shareholders of TIM S.A.<\/p>\n

    According to the above-mentioned notification, as of 13 December 2018, the funds managed by the Association possessed in total 232,589 shares of TIM S.A. which granted right to 232,589 votes at the General Meeting of Shareholders of the Company which constitute share of 1.05% in the share capital of TIM S.A. and in the total number of votes at the General Meeting of Shareholders of TIM S.A.<\/p>\n

    The total number of shares and votes at the GMS of TIM S.A. is 22,199,200.
    \nAccording to the statement of the Association, there are no entities dependant on Shareholders making the notification who possess shares of TIM S.A., as well as there are no people referred to in Article 87, section 1, sub-section 3, letter c of the above-mentioned Act in terms of Shareholders.\u00a0According to the notification, the notifying party does not have the financial instruments referred to in Article 69b, paragraph 1, section 1 and 2 of the above-mentioned Act.<\/span><\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n
