Management Board of TIM S.A. with its registered office in Wroc\u0142aw (Company\u201d) acting pursuant to Article 80 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (\u201cAct\u201d), announces to the public the position of the Company’s Management Board regarding the call to subscribe for the sale of the Company’s shares announced on the basis of Article 72a(1) of the Act on 20 April 2023 by FEGA _ Schmitt Elektrogro\u00dfhandel GmbH with its registered office in Ansbach, Germany (\u201cPosition\u201d) together with the opinion of KPMG Advisory sp\u00f3\u0142ka z ograniczon\u0105 odpowiedzialno\u015bci\u0105 sp. k. with its registered office in Warsaw (so-called fairness opinion) (\u201cShare Price Opinion\u201d).
