A bank guarantee issued on request of 3LP SA – a subsidiary of TIM SA

| The Management Board of TIM SA informs that on October 11, 2018, a subsidiary of TIM SA, i.e. 3LP SA with its registered office in Siechnice received signed Annex No. 1 to the guarantee agreement No. 09/189/17, dated 9/10/2018, concluded between mBank SA with its registered office in Warsaw _ hereinafter referred to as “mBank” _, and 3LP SA with its registered office in Siechnice_hereinafter referred to as “3LP SA” _ changing the terms and conditions for granting and handling of Guarantee No. MT09189KOT17 issued by mBank SA on request of 3LP SA, for HE Wroclaw 3 spółka z ograniczoną odpowiedzialnością in order to secure timely payments of monetary liabilities arising from the lease agreement of 03/11/2015, as amended on 02/11/2016, under the agreement concluded by and between 3LP SA, TIM and HE Wroclaw 3 SP. z o.o. regarding the built property located in Siechnice at ul. Kwiatkowskiego 24.
The information about granting of the guarantee referred to above was published by the Management Board of TIM SA in current statement No. 37/2017 of 30/10/2017. The Management Board of TIM SA published information on the conclusion of the lease agreement referred to above in current statement No. 32/2015 of 03/11/2015 and in current statement No. 49/2016 of 10/11/2016. Due to the limitation of the amount required by HE Wrocław 3 Sp. z o. o. as a security, pursuant to the aforementioned Annex, the amount of the guarantee granted has been reduced from EUR 2,262,805.54 to the amount of EUR 1,146,656.96, the term of the guarantee has been extended by another year, i .e. to 07/11/2019 and the scope of the security has been changed by lowering of the amount of the mortgage established for the benefit of mBank SA on the perpetual usufruct right of the property located in Wrocław at ul. Stargardzka 8a, described in the land and mortgage register KW No. WR 1 K/00095155/3, which is used in perpetuity by 3LP being also the owner of the buildings, to the amount of EUR 1 750 000. In addition, the Management Board of TIM SA informs that on October 11, 2018, a subsidiary of TIM SA, i .e. 3LP SA with its registered office in Siechnice received signed agreement no 09/146/18 on granting of the guarantee dated 09.10.2018 between mBank SA, with its registered office in Warsaw and 3LP SA with its registered office in Siechnice, specifying the terms and conditions for granting and supporting by mBank of Guarantee no MT09146KOT18 in the amount of EUR 290.000, with the term of validity to 23/09/2019, issued on behalf of 3LP SA for HE Wroclaw 3 Bis SP. z o.o. with its registered office in Warsaw, _previously called: Stillden Investments Ltd. _ securing timely payments of rent and operating fees, in accordance with the lease agreement of 23/04/2018. The Management Board of TIM SA informed on the conclusion of the lease agreement referred to above in current statement No. 11/2018 of 24/04/2018 The security of obligations under the guarantee agreement described above shall be a mortgage established for the benefit of mBank SA on the perpetual usufruct right to the land property located in Wrocław at ul. Stargardzka 8a, described in the land and mortgage register KW No. WR 1 K / 00095155/3, where the perpetual usufructuary and owner of the buildings is 3LP SA, up to the amount of EUR 435,000, in words: four hundred and thirty-five thousand euro_ , the assignment of the insurance rights regarding the said property along with the obligation of 3LP to insure the above property for the duration of the abovementioned agreements on granting of the guarantee in the minimum amount of PLN 10,000,000 and a blank promissory note together with a promissory note statement issued by 3LP SA. The Management Board of TIM SA decided that the above information constitutes confidential information as referred to in Article 7 of MAR Regulation due to the fact that the above information may have a potential effect on the financial results of the TIM Capital Group. |
