Credit agreement concluded by and between mBank SA and TIM SA

| The Management Board of TIM SA with its registered office in Wrocław informs that on July 31, 2017 the Company and mBank SA with its registered office in Warsaw _hereinafter referred to as ‘the Bank’ _ entered into the Agreement on current account credit pursuant to which the Bank granted TIM SA credit in the amount of PLN 12 million _in words: PLN twelve million_. In accordance with the above agreement, TIM SA has the right to overdraw its account in the Bank up to the amount of the granted credit limit during the period from July 31, 2017 to July 26, 2018.
The interest rate of the credit is calculated based on WIBOR for interbank loans ON plus the Bank margin. Pursuant to the above agreement, the credit shall be disbursed after TIM SA makes a statement of submission to enforcement up to the amount of PLN18 million _in words: PLN eighteen million_. The Management Board of TIM SA informs that the above information has been considered confidential within the meaning of the definition set out in Article 7 MAR due to the fact that the total amount of the potential liability of TIM SA towards mBank arising from the fact of entering into the above agreements may have an impact on the future financial results of TIM SA. |
