Initiating the procedure of waiving the dematerialization of shares of Rotopino.pl S.A. – a subsidiary of TIM S.A.

| The Board of TIM S.A. with its seat in Wrocław informs that as a result of the review of strategic options, which the Company informed about in the Current Report no. 5/2018 of22.03.2018, in connection to completing the Forced Buyout of shares of Rotopino.pl S.A. with its seat in Bydgoszcz, which the Company informed about in the Current Report 53/2018 of 18.12.2018, the Board of TIM S.A. initiated the procedure of waiving of dematerialisation of shares of Rotopino.pl S.A. and delisting the above-mentioned company’s shares from the alternative trading system NewConnect are being carried out. On 24.01.2019 the Board of TIM S.A., acting pursuant to Article 400, section 1 of the Act of 15 September 2000 – the Code of Commercial Companies, in relation to Article 91, section 5 of the Act of 29 July 2005 on the Public Offer of Financial Instruments (Dz.U. 0f 2018, item 512) requested Rotopino.pl S.A. to call for the Extraordinary General Meeting of Shareholders of Rotopino.pl S.A. and including in the agenda a point regarding passing by the Extraordinary General Meeting of Shareholders of Rotopino.pl S.A. resolution on waiving dematerializaition of shares of Rotopino.pl S.A. and delisting the above-mentioned company’s shares from the alternative trading system NewConnect and a point regarding costs of convening and carrying out the Extraordinary General Meeting of Shareholders of Rotopino.pl S.A. |
