Notice of the reduction of share in the total number of votes in the Company below the threshold of 10%

In accordance with the notice received from Towarzystwo, the reduction of share in the total number of votes in the Company occurred as a result of the settlement on August 24, 2018 of the sale transaction on a regulated market  of 200 373 Company shares.

According to the Towarzystwo’s notice, before the change in the share, the funds managed by Towarzystwo held a total of 2,618,793 shares of TIM SA, which represented 11.80% share in the share capital of the Company. Before the change in the share, the shares owned by the funds managed by Towarzystwo entitled in total to 2 267 793 votes at the General Meeting of the Company, which constituted 10.22% of the total number of votes at the General Meeting of TIM SA.

In accordance with the notice referred to above, as of August 29, 2018, the funds managed by Towarzystwo held a total of 2 067 420 shares of TIM SA, which entitled to 2 067 420 votes at the General Meeting of the Company, which represented a share of 9.31% in the share capital of TIM SA and the total number of votes at the General Meeting of TIM SA. The overall number of shares and votes at AGM of TIM SA is 22 199 200.
According to a statement made by Towarzystwo, no subsidiaries of shareholders providing the notice hold TIM SA shares as well as there are no persons referred to in Article 87(1)(3)(b) and (c) of the Act referred to above in relation to the shareholders. In accordance with the above statement, the notifying entity does not have any financial instruments referred to in Article (69b)(1)(2) and (2) of the above Act.
