Notice on the reduction of share by 2% of the total number of votes in the AGM of TIM SA

In accordance with the notice received from Towarzystwo, the reduction of share in the total number of votes in the Company occurred as a result of the settlement on May 17, 2018 of the sale transactions on a regulated market of 101 382 Company shares.

According to the Towarzystwo’s notice, before the change of the share, the funds managed by Towarzystwo held a total of 2,618,683 shares of TIM SA, which represented 11.80% share in the share capital of the Company. Before the change, the shares owned by the funds managed by Towarzystwo entitled in total to 2 618 683 votes at the General Meeting of the Company, which constituted 11.80% of the total number of votes at the General Meeting of TIM SA.

According to the notice referred to above, as of May 23, 2018, the funds managed by Towarzystwo held a total of 2 517 301 shares of TIM SA, which entitles to 2 517 301 votes at the General Meeting of the Company, which represents a share of 11.34% in the share capital of TIM SA and the total number of votes at the General Meeting of TIM SA.

The total number of shares and votes at the General Meeting of TIM SA is 22 199 200.
According to a statement made by Towarzystwo, no subsidiaries of shareholders providing the notice hold TIM SA shares, as well as there are no persons referred to in Article 87(1)(3)(b) and (c) of the Act referred to above in relation to the shareholders. In accordance with the above statement, the notifier does not have any financial instruments referred to in Article (69b)(1)(2)and(2) of the above Act.
