Notification on the reduction of the share in the total number of votes at the General Meeting of TIM S.A. below the threshold of 5%.

As per the notification received from Towarzystwo, the reduction in the number of votes in the Company below 5 % was effected due to the sale of 14 331 (fourteen thousand three hundred thirty one) shares in the Company on the regulated market operated by the Warsaw Stock Exchange on 2021 January 14. (hereinafter: “Transaction”). The Transaction was settled on 8 January 2021.

As per the notification received from Towarzystwo, prior to the Transaction, the Funds held a total of 1 118 439 (one million one hundred and eighteen thousand, four hundred and thirty-nine) shares of TIM SA which constituted 5.04 % of the Company’s share capital, entitling to 1 118 439 votes at the Company’s General Meeting, which constituted 5.04 % of the total number of votes at the Company’s General Meeting.

As per the notification, referred to above, as of 11 January 2021 the Funds managed by Towarzystwo held a total of 1 104 108 (one million one hundred and four, one hundred and eight) of Company’s shares which carried the right to 1 104 108 votes at the Company’s General Meeting, which constituted 4.97% in the share capital of TIM S.A. and in the total number of votes at the Company’s General Meeting of TIM S.A.

The total number of shares and votes at the General Meeting of TIM SA is 22 199 200.
Pursuant to the representation made by Towarzystwo, the Funds do not have subsidiaries which would hold the Company’s shares, the Funds have not concluded agreements with third parties specified in Art. 87, sec. 1, point 3, letter c of the above cited Act and the Funds are not entitled to a right to vote attached to the Company’s share in connection with situations specified in Art. art.69, sec. ust.4, point 7 and 8 of the Act.
