TIM S.A. Incentive Programme – Options of Acquiring Shares for 2022

| TIM S.A. with its registered office in Wrocław _hereinafter: the “Company” or “TIM S.A.”_ announces that in the performance of Resolution No. 5/23.10.2020 of the Extraordinary General Meeting of TIM S.A. on an incentive programme for members of the Management Board, key managers of the Company and members of the Management Boards of subsidiaries _hereinafter: the “Resolution”_ published in current report no. 31/2020 of 23.10.2020, on 16 November 2021, options have been granted to acquire shares of TIM S.A. within Tranche II for 2022, after meeting the conditions and on the terms specified in the Resolution and the Regulations of the TIM S.A. incentive programme for members of the Management Board, other key managers of the Company and members of the management board of subsidiaries adopted by the Supervisory Board of TIM S.A. on the basis of the Resolution, hereinafter: “Regulations”_ in the total quantity of 366,933, of which:
1_ The Management Board of TIM S.A. received a total of options to acquire 183,466 shares of TIM S.A., including: Krzysztof Folta – President of the Management Board – the option to acquire 62,378 shares of TIM S.A. 2_ Members of the Management Board of 3LP S.A. with its registered office in Siechnice, a subsidiary of TIM S.A., received the options to acquire the total of 91,767 shares of TIM S.A. 3_the key managers of TIM S.A. received the options to acquire the shares of TIM S.A. in the total number of 91,700. After 24 months from the end of 2022 and meeting the conditions specified in the Resolution and the Regulations, the above-mentioned persons will be offered the shares of TIM S.A. specified above on the terms described in the Resolution and the Regulations. The Company announced the acquisition of options for the shares of TIM S.A. under Tranche I for 2021, in the total number of 366,933 shares, in current report no. 40/2020 of 22 December 2020. The Management Board of TIM S.A. has decided to publish the above information due to the fact that it may have a significant impact on the financial and economic situation of the Company and potentially on the price of the shares of TIM S.A. |
